Terms and conditions

The agreement will take place from 1st June 2024 between:

  1. PATERNOSTER LIMITED, a company registered in ENGLAND AND WALES under number 02540298 whose registered office is at 15 PATERNOSTER ROW, SHEFFIELD, S1 2BX (hereinafter known as the 'Licensor') and the competition winner (Companies House details to follow).

  2. In this deed, except where the context otherwise requires, the following terms shall have the following meanings.

  • Licence fee: Means £0 per month exc. VAT
  • Licence period: Means from start date agreed by tenant and Paternoster for a maximum period of 12 months
  • Deposit: This will not be requested, however clause 3.3
  • Permitted hours: Means all hours access to the licenced office 8am to 6pm Reception Monday to Friday
  • Premises: Means the office allocated, forming part of the Licensors premises at the Workstation, 15 Paternoster Row, Sheffield, S1 2BX
  • Service costs: Means the amount the Licensor spends in carrying out all it’s obligations under this licence
  • Interim service charge: Means a monthly payment on account of the final service charge which is £130 per month (exc VAT). This is in accordance with clause 5, this will be revived after the 12 month period ends.

2. Grant of Licence

2.1 The Licensor permits the Licensee to use the Premises for the Licence Period for the Permitted Use.

2.2 Either party can end this licence at any time by giving the other at least 1 calendar months’ notice taking effect at the end of a month.

2.3 This licence is personal to the Licensee and may not be transferred.

2.4 The estimated value of this prize is £3,000

2.5 Paternoster have the right to relocate the office number with 2 weeks’ notice should we require the clients office back. Paternoster agrees to relocate the client to an office of similar size and no changes to the current terms would take place.

2.6 The licensee can use the building as their registered address for the time frame that this agreement is in place. Once the agreement is ended, should the licensee decide not to renew the agreement as the standard rates charged, then we must be removed as their registered address in company’s house.

3. Licensee’s covenants

3.1 The Licensee shall pay the Licence Fee and value added tax in respect of it in advance and without any deduction set off or counterclaim on the 10th day of every month and on the date of this agreement shall pay a proportionate part of the Licence Fee in respect of the period from and including the first day of the Licence Period to and including the [last day] of the current month.

3.2 The Licensee shall not do or permit or suffer to be done any of the following:

3.2.1 use the Premises otherwise than for the Permitted Use,

3.2.2 share occupation of the Premises or any part of them without expressed written consent from the Licensor;

3.2.3 make any alteration or addition to the Premises;

3.2.4 put any signs, notices, logos or other branding or promotional material at the Premises without the prior written consent of the Licensor;

3.2.5 cause any nuisance or annoyance to the Licensor or to the owners or occupiers of any neighbouring premises;

3.2.6 use electrical equipment which has does not have recent PAT certificate.

3.3 The Licensee shall keep the Premises clean and tidy and make good any damage caused.

3.4 The Licensee shall pay in advance as deposit one full months’ Licence Fee (net of VAT) which will be held by the Licensor and offset against any damages to fixtures or furnishings at the end of the Licence Period.

3.5 The Licensee shall for the entire duration of this Licence hold professional Insurance covering contents, employee and public liabilities, such insurance to have a minimum of £10 million public liability cover.

3.6 If the Licence Fee or any service charges are unpaid for more than 28 days (whether formally demanded or not) the Licensee must on demand pay interest at the rate of 4% per cent per annum above the base rate for the time being of Barclays Bank plc calculated on a daily basis on the amount unpaid or refused from the due date until the date on which payment is made.

3.7 The Licensee shall pay and discharge or indemnify the Licensor against all rates taxes duties charges assessments impositions and outgoings whatsoever (whether parliamentary parochial local or of any other description) which are assessed charged or imposed upon the Premises or the owner or occupier and whether of an existing or novel nature.

3.8 The Licensee shall pay or indemnify the Licensor against all charges incurred relating to water sewage disposal gas electricity telecommunications and any other services supplied to the Premises (including all standing charges and meter rents).

3.9 The Licensee shall pass on any notices or other correspondence received at the Premises and addressed to the Licensor or relevant to the Licensor’s interest in the Premises.

3.10 The Licensee shall allow the Licensor (and all others authorised by the Licensor) to enter the Premises at any reasonable time for the purpose of ascertaining whether the terms of this agreement are being complied with and for any other purposes connected with the Licensor’s interest in the Premises.

3.11 At the end of the Licence Period the Licensee shall vacate the Premises remove all items belonging to it and return possession to the Licensor. Failure to do so will result in and additional charge to the Licensee of the charges paid by Paternoster to remove these items.

4. Licensor’s covenants

4.1 Subject to the Licensee paying the sums mentioned in Clause 5 the Licensor shall provide the following services, (at an agreed additional cost if applicable, such services annotated with “[+]”):

4.1.1 Heating, lighting and electricity supply to the Premises [+]; With electricity charged ta 16.5p per kWh

4.1.2 cleaning of the Premises outside office hours [+];

4.1.3 maintenance decoration and repairs to the Premises;

4.1.4 shared toilet and kitchen facilities;

4.1.5 furniture furnishings and equipment suitable for a professional office suite;

4.1.6 shared equipment for photocopying scanning printing [+];

4.1.7 broadband internet access [+];

4.1.8 maintenance services

4.2 The Licensor shall allow the Licensee (and its employees and visitors) access to and egress from the Premises over the common parts of the building

5. Service Charge

5.1 In this clause 5 the ‘Service Costs’ are the costs the Licensor incurs or which become payable in respect of the following:-

5.1.1 cleaning and lighting of the Common Parts

5.1.2 repair and decoration of the Building

5.1.3 heating and ventilation of the common parts

5.1.4 security of the Building including the maintenance of fire and security alarms

5.1.5 compliance with Laws

5.1.6 window cleaning

5.1.7 maintaining shared facilities

5.1.8 a supply of cold water to the Premises

5.1.9 repair and replacement of the lifts serving the Building

5.1.10 business rates in relation to the common parts

5.1.11 refuse disposal

5.1.12 maintaining buildings insurance

5.2 The Licensee will pay the Licensor interim payments on the 10th day of each calendar month on account of its obligations in this clause 6 and those interim payments will be as decided by the Licensor from time to time (and may include a sum or sums of money by way of reasonable provision for anticipated future expenditure of a capital nature in respect of replacement of communal facilities and areas hereinafter called ‘the Reserve Fund’)

5.5 The Licensor can include in the Service Costs the reasonable charges of managing agents and a reasonable management charge

6. General

6.1 The parties agree that a person who is not a party to this licence has no right arising solely by virtue of the Contracts (Rights of Third Parties) Act 1999 to enforce any terms of this licence.

6.2 All notices given under this licence must be in writing and for the purpose of service the provisions as to service of notices contained in Section 196 of the Law of Property Act 1925 are incorporated in this licence.
